This Terms of Use Agreement ("Agreement") governs the usage of our Platform, Bidhom. By accessing or using the Platform, you agree to be bound by these terms. Please read these Terms of Use before using the Service.
1. Subscription and Payment
1.1 Subscription Charges
- The Platform is available on a subscription basis, payable monthly.
- A setup fee will be charged for customization if you wish us to set up the website as per your requirements.
- Customizations, enhancements, or integrations are possible as per feasibility. Please contact customer support for your requirements.
- Account Information: We collect basic account information such as your name, email address, phone number, mailing/billing address, and any other information you choose to provide.
1.2 Payment Terms
- Subscriptions are billed on a recurring monthly basis.
- Subscriptions automatically renew unless canceled.
- A valid payment method is required for processing payments. You must provide accurate and complete billing information including your full name, address, state, zip code, telephone number, and payment method details.
- Subscription charges must be paid within three (3) days of the subscription date. If payment is not received within this period, services may be temporarily blocked until the payment is made. Services will be permanently blocked if payment is not received for two consecutive months.
1.3 Refunds
- Except when required by law, paid subscription fees are non-refundable.
2. Accounts
- When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.
- You are responsible for safeguarding your password and for any activities or actions under your password, whether it is with our Service or a third-party service. You agree not to disclose your password to any third party. Notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
- You may not use a username that is the name of another person or entity without appropriate authorization, or a name that is otherwise offensive, vulgar, or obscene.
3. Service Level Commitments
3.1 Availabilty
- We strive to maintain a high level of service availability to ensure that our users can access the Platform when needed. However, there can be scheduled maintenance downtimes which will be informed in advance through email notifications or system alerts.
- The Platform uses Microsoft servers for hosting. While Microsoft provides a robust and secure hosting environment, we do not guarantee uninterrupted access to the Platform if there are outages due to issues on Microsoft's side. In such cases, we will work with Microsoft to resolve the issues as quickly as possible.
3.2 Support
- We offer support services during business hours to assist with any issues you may encounter while using the Platform. Our support team can be reached via support@bidhom.com. We aim to respond to all support requests within 24 hours.
4. Data Security
- Data security is of utmost importance to us. We adhere to security standards as per Microsoft hosting. This includes utilizing advanced security measures such as encryption, firewall protections, and regular security audits.
- All data stored on our Platform is encrypted both in transit and at rest, ensuring that your information is protected from unauthorized access and breaches.
- Regular backups are performed to prevent data loss and ensure data integrity. In the event of a data breach, we will notify affected users and take necessary steps to mitigate the impact.
5. Restrictions
You shall not, directly or indirectly:
- Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, alter, reproduce or otherwise make any changes to the Software or the Services.
- Use the Software or Services in any manner to provide time-sharing, benchmarking, or other computer services to third parties.
- Use the Platform for any illegal or unauthorized purposes. Users must comply with all local, state, national, and international laws and regulations applicable to their use of the Platform.
6. Termination
- We reserve the right to terminate or suspend your access to the Platform for breach of this Agreement or non-payment of subscription charges. In such cases, we will provide notice and, if possible, an opportunity to remedy the issue before termination.
- You may terminate your subscription at any time by providing 48 hours advance written notice to our customer support team. Termination will be effective at the end of the current billing cycle. No refunds will be provided for the remaining period of the subscription term.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of California, without regard to its conflict of laws principles. Any disputes arising out of or related to this Agreement shall be resolved in the courts of San Jose, California.
8. Disclaimer
- The Platform and Services are provided on an "as is" and "as available" basis. We make no warranties, whether express, implied, statutory, or otherwise, with respect to the Platform and Services, including but not limited to, any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or completely secure.
- We are not responsible for any delays, delivery failures, or any other loss or damage resulting from the transfer of data over communications networks and facilities, including the internet, and you acknowledge that the Platform and Services may be subject to limitations, delays, and other problems inherent in the use of such communications facilities.
9. Limitation of Liability
- In no event shall we be liable to you or any third party for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data, or business opportunities, arising out of or related to this Agreement, regardless of the theory of liability and whether or not we have been advised of the possibility of such damages.
- Our total cumulative liability arising out of or related to this Agreement shall not exceed the total amount paid by you to us under this Agreement during the twelve (12) months immediately preceding the event giving rise to the claim.
10. Changes
- We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
- By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
11. Acceptance
By using the Platform, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement.
