Welcome to Bidhom. These Terms of Use ("Terms") govern your access to and use of the Bidhom website, platform, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Service.

1. About the Service

• Bidhom provides a software-as-a-service (SaaS) platform designed to facilitate online auctions, property listings, and related services.
• The Service may include tools for listing management, bidding processes, analytics, payment integrations, and document workflows.
• The Service may integrate with third-party systems such as payment gateways, MLS platforms, and document signing services.

2. Account Registration

To access certain features of the Service, you must create an account.

You agree to:

• Provide accurate and complete information
• Maintain the confidentiality of your login credentials
• Be responsible for all activity that occurs under your account

You must notify us immediately if you suspect unauthorized access to your account.

Bidhom reserves the right to suspend or terminate accounts that violate these Terms.

3. Subscription and Billing

Bidhom operates on a subscription-based model.

By subscribing to the Service, you agree that:

• Subscription fees are billed on a recurring basis
• Subscriptions automatically renew unless cancelled prior to renewal
• All subscription fees are payable in advance

Failure to make timely payment may result in suspension or termination of access to the Service.

Bidhom reserves the right to update pricing upon reasonable notice.

4. Non-Refundable Payments

Except where required by applicable law, all payments made to Bidhom are non-refundable.

This includes but is not limited to:

• Subscription fees
• Setup fees
• Customization fees
• Integration fees

5. License to Use the Service

Subject to these Terms, Bidhom grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your internal business purposes.

You may not:

• Copy or redistribute the software
• Reverse engineer the platform
• Attempt to extract source code
• Resell or sublicense the Service without authorization
• Use the Service for unlawful purposes

All rights not expressly granted are reserved by Bidhom.

6. Intellectual Property

All software, technology, content, designs, and intellectual property associated with the Service remain the exclusive property of Bidhom and its licensors.

Use of the Service does not grant you ownership of the platform or any related technology.

7. Customer Data

You retain ownership of the data, listings, and information you submit to the platform ("Customer Data").

By using the Service, you grant Bidhom the right to process, store, and display Customer Data solely for the purpose of providing and improving the Service.

You are responsible for ensuring that you have the necessary rights to upload and publish such data.

8. Acceptable Use

You agree not to use the Service to:

• Violate applicable laws or regulations
• Upload malicious code or harmful software
• Attempt unauthorized access to the platform or other accounts
• Scrape or extract platform data using automated tools
• Interfere with the operation or security of the Service
• Engage in fraudulent or misleading activities

Bidhom reserves the right to suspend accounts that violate these policies.

9. Platform Role

Bidhom provides a technology platform that enables users to create and manage listings, auctions, and related workflows.

Bidhom is not a broker, auctioneer, real estate agent, financial intermediary, or participant in any transaction conducted through the platform.

Any agreements, transactions, disputes, or interactions between users and third parties are solely between those parties.

Bidhom is not responsible for the outcome of transactions conducted through the platform.

10. User Compliance with Laws

Users are solely responsible for ensuring that their use of the Service complies with all applicable laws and regulations.

This includes, but is not limited to:

• Auction regulations
• Real estate regulations
• Consumer protection laws
• Advertising laws
• Data protection requirements

Bidhom does not verify or guarantee the legality, accuracy, or compliance of listings, auctions, or other activities conducted by users.

11. Beta or Experimental Features

From time to time, Bidhom may offer access to new or experimental features ("Beta Services").

Beta Services are provided for testing and evaluation purposes and may:

• Contain errors or bugs
• Be modified or discontinued at any time
• Have limited functionality

Beta Services are provided "as is" without warranties of any kind.

12. Third-Party Services and Integrations

The Service may integrate with third-party services including payment gateways, listing services, analytics platforms, and document tools.

Bidhom is not responsible for:

• Availability or reliability of third-party services
• Data handling practices of third-party providers
• Failures caused by external integrations

Your use of third-party services is subject to their respective terms.

13. Platform Availability

Bidhom strives to maintain reliable access to the Service but does not guarantee uninterrupted availability.

Service interruptions may occur due to:

• Maintenance or system upgrades
• Infrastructure or hosting failures
• Internet disruptions
• Events beyond our control

We will make commercially reasonable efforts to maintain service availability.

14. Data Security

Bidhom implements commercially reasonable security measures to protect user data.

However, no system can guarantee absolute security. By using the Service, you acknowledge and accept this risk.

15. Suspension and Termination

Bidhom may suspend or terminate your access to the Service if:

• You violate these Terms
• Subscription payments remain unpaid
• Your activities create security or operational risks

Upon termination, access to the Service will be disabled.

16. Data Retention and Deletion

Following account termination, Bidhom may retain Customer Data for a limited period (typically up to 90 days) to allow for recovery if the account is reactivated.

After this period, data may be permanently deleted.

17. Indemnification

You agree to indemnify and hold harmless Bidhom and its affiliates from any claims, damages, liabilities, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Any data, listings, or content you submit to the platform

18. Limitation of Liability

To the fullest extent permitted by law, Bidhom shall not be liable for any indirect, incidental, or consequential damages arising from the use of the Service.

Bidhom's total liability shall not exceed the amount paid by you for the Service during the 12 months preceding the claim.

19. Force Majeure

Bidhom shall not be liable for delays or failures caused by circumstances beyond its reasonable control, including but not limited to:

• Natural disasters
• Government actions
• Internet outages
• Cybersecurity incidents
• Cloud infrastructure failures

20. Changes to the Terms

• Bidhom may update these Terms periodically.
• Material changes will be communicated through the platform or by email.
• Continued use of the Service after changes constitutes acceptance of the updated Terms.

21. Governing Law

These Terms are governed by the laws of the State of California. Any disputes arising from these Terms shall be resolved in the courts located in San Jose, California.
